1. Agreement to Terms

These Terms & Conditions govern the commercial relationship between Clom Enterprises ("we", "us", or "our"), a proprietorship firm located at Plot No. 631, Niti Khand 2, Indirapuram, Ghaziabad, Uttar Pradesh – 201014, India, and any business, organization, or individual ("Client" or "you") engaging our digital marketing, web development, marketplace management, or brand support services.

2. Scope of Services

The specific scope, milestones, deliverables, and payment schedule for each client engagement shall be detailed in an individual Statement of Work (SOW), project agreement, or accepted proposal. Any modification to the agreed scope requires written mutual confirmation.

3. Ethical Marketing & Performance Expectations

Clom Enterprises executes all digital campaigns, search optimizations, and marketplace management with professional skill and industry best practices. However:

• No Guaranteed Outcomes: We do not warrant or guarantee specific search engine ranking positions, specific lead counts, return on ad spend (ROAS) multipliers, or revenue numbers. Digital performance depends on numerous external variables including third-party algorithms, market demand, competitor actions, and client fulfillment capabilities.
• Ad Spend Billing: Advertising media spend (such as Google Ads or Meta Ads spend) is billed directly to the Client's payment method by the respective advertising platform and is distinct from our agency management fees.

4. Non-Legal Firm Representation Notice

Clom Enterprises is a digital growth and brand support company, not a legal practice. Our trademark and brand legal assistance consists solely of administrative coordination, application filing assistance through authorized agents, and marketplace brand authorization documentation. We do not provide formal legal representation, advocacy in court, or licensed legal opinions.

5. Intellectual Property & Asset Ownership

• Client Asset Sovereignty: Upon full settlement of all applicable invoices, the Client retains full and exclusive ownership of all bespoke website code, custom graphic assets, domain names, advertising accounts, and marketplace seller logins created or managed on their behalf.
• Pre-Existing Materials: Any proprietary tools, reusable software libraries, frameworks, or methodologies developed independently by Clom Enterprises remain our intellectual property, with the Client receiving a non-exclusive, perpetual license to utilize them within the delivered project.

6. Payment Terms & Retainers

Payment milestones are established prior to project commencement. Ongoing monthly management services (such as performance marketing or e-commerce seller account retainers) are billed in advance of the monthly billing cycle. Invoices are payable within 7 business days of issuance unless otherwise stipulated in writing.

7. Confidentiality & Non-Disclosure

Both parties agree to treat all business plans, customer data, trade secrets, pricing formulas, and proprietary operational documentation disclosed during the engagement as strictly confidential.

8. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with our services shall be subject to the exclusive jurisdiction of the competent courts in Ghaziabad, Uttar Pradesh, India.
